Terms of Service

1. What is Codey

Codey is a local-first AI development operating system. It provides a CLI, Desktop application, and Terminal UI that let you write code, run AI agents, automate workflows, and connect to 70+ AI providers — all from your machine. Codey does not host, store, or process your code on our servers.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Codey. If you are using Codey on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your Code, Your Ownership

You retain full ownership of everything you create, write, or generate using Codey. Codey does not claim any rights to your code, your projects, your prompts, or the outputs generated by your AI providers. Your work stays yours.

4. Bring Your Own Key (BYOK)

Codey connects to AI providers using your own API keys and accounts. You are responsible for:

• Maintaining valid accounts and API keys with your chosen providers.
• Complying with each provider's terms of service and acceptable use policies.
• Any charges, usage fees, or costs incurred through your provider accounts.
• Reviewing each provider's data handling and privacy practices.

Codey has no control over third-party providers and assumes no responsibility for their services, accuracy, availability, or data practices.

5. Codey Pro Subscription

Codey Pro is an optional paid subscription that unlocks advanced features including Autopilot, Workpilot, custom agents, and n8n automation integration. Pro subscription terms:

• Fees are billed monthly or as otherwise indicated at the time of purchase.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period.
• We may change pricing with at least 30 days notice before the next billing cycle.
• Refunds are handled on a case-by-case basis. Contact us for support.

6. Acceptable Use

You agree not to use Codey to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of others.
• Create malicious software, exploits, or attack tools.
• Engage in fraud, deception, or harassment.

7. Changes to the Services

We may update, modify, or discontinue features of Codey at any time. We will make reasonable efforts to notify you of significant changes that affect your ability to use the Services.

8. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new effective date and, where possible, notify you through the application. Your continued use after changes are effective constitutes acceptance.

9. Termination

You may stop using Codey at any time. We may suspend or terminate your access to the Codey account services (billing, sync) if you violate these Terms. Termination does not affect your local installation or your ownership of your code and data.

10. Disclaimer of Warranties

CODEY IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Governing Law

These Terms are governed by the laws of the jurisdiction where Codey Labs, Inc. is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration.
